Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Lone Nut Kaizen application and services ("Service"), operated by Lone Nut Kaizen ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account. You are responsible for safeguarding your password and for any activities or actions under your account.

2. Subscriptions

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on a monthly or annual basis, depending on the plan you select. At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it.

3. Free Trial

We may offer a Subscription with a free trial for a limited period of time ("Free Trial"). You may be required to enter your billing information to sign up for the Free Trial. If you do enter billing information, you will not be charged until the Free Trial has expired. On the last day of the Free Trial period, unless you have cancelled, you will be automatically charged the applicable Subscription fees.

4. Fee Changes

Lone Nut Kaizen may modify Subscription fees at any time. Any fee change will become effective at the end of the then-current Billing Cycle. We will provide reasonable prior notice of any change to give you an opportunity to cancel before the change takes effect. Your continued use of the Service after a fee change constitutes agreement to pay the modified amount.

5. Refunds

Subscriptions. We offer a no-questions-asked 30-day money-back guarantee on Lone Nut Kaizen subscriptions. The 30-day window is measured from the date you first subscribed (including the start of any free trial). Within that window you may request a full refund of your most recent subscription invoice, and your subscription will be canceled immediately.

Refunds within the 30-day window can be requested from Settings → Billing using the "Cancel & request refund" control, which processes the refund automatically. After the 30-day window, subscription payments are non-refundable; you may still cancel at any time and retain access until the end of your current billing period. The 30-day money-back guarantee is limited to one self-service refund per customer, identified by email address or payment card.

AI Action Packs. Top-up AI Action Packs are one-time purchases of digital credits delivered immediately. Because credits are consumable and granted on purchase, AI Action Packs are non-refundable. We may, in our sole discretion, consider a goodwill refund where a pack was purchased clearly in error and no credits have been used; such requests must be made to support@lonenutkaizen.online within 7 days of purchase. Where a goodwill refund is granted, the corresponding credits will be revoked from your organization's balance.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Lone Nut Kaizen and its licensors. The Service is protected by copyright, trademark, and other laws of New Zealand and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

7. Prohibited Uses

You may use the Service only for lawful purposes. You may not use the Service:

• In any way that violates any applicable national or international law or regulation.
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
• To transmit any advertising or promotional material, including "junk mail," "chain letters," or "spam."
• To impersonate the Company, a Company employee, another user, or any other person or entity.
• In any way that infringes upon the rights of others, or is illegal, threatening, fraudulent, or harmful.

8. AI Features and Disclaimer

The Service includes AI-powered features (collectively, "KAI") — depending on your tier — such as the AI Insight Engine, AI-Assisted Process Mapping, Digital Twin Monte Carlo Simulation, Kaizen Culture Monitoring, the Daily Huddle AI Report, the 5 Whys assistant, the AI Process Auditor, and any other feature that generates content using a large language model. KAI is built on third-party generative AI models (currently Google's Gemini family, accessed via the Genkit framework).

AI outputs are provided as guidance and inspiration only — not as absolute, authoritative, or guaranteed-correct answers. Generative AI can produce information that is inaccurate, incomplete, biased, out of date, or fabricated ("hallucinated"). You acknowledge and agree that:

• You will independently review, verify, and exercise your own professional judgement before acting on any AI-generated suggestion, root cause, recommendation, simulation result, audit finding, KPI insight, SOP draft, or other output;
• AI outputs are not a substitute for qualified professional, legal, regulatory, safety, engineering, medical, or financial advice;
• You are solely responsible for any decision, action, or change you make in reliance on AI outputs, including any operational, safety, compliance, or financial consequences;
• You will not submit personal data about other identifiable individuals, confidential information you are not authorised to disclose, special-category personal data, payment card data, passwords, or government identifiers as inputs to AI features;
• AI features may be rate-limited per your tier's monthly AI action allowance, and may be modified, paused, or withdrawn at any time without notice.

To the maximum extent permitted by law, Lone Nut Kaizen makes no warranty, express or implied, regarding the accuracy, reliability, completeness, or fitness for purpose of any AI-generated output, and disclaims all liability for losses arising from your reliance on it. 9. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason, including a breach of these Terms.

10. Limitation of Liability

In no event shall Lone Nut Kaizen, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Service.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.

12. Changes to Service

We reserve the right to withdraw or amend our Service, and any service or material we provide via the Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period.
